1. INTRODUCTION

These Terms and Conditions set forth the rules for the use of the NFT Seed Site by individual Users and the rules for the provision of the Services by cannabis-launchpad.com OÜ, a company registered under Estonian law, with its registered office in Tallinn, address: Harju maakond, Tallinn, Lasnamäe linnaosa, Lõõtsa tn 5, 11415, registered in the e-registry of entrepreneurs under No.: 16541933. Before accessing or using the NFT Seed Services or the NFT Seed Site, please read the legal documents, which are in the following hierarchy:

The NFT Seed Terms and Conditions, together with the other Legal Documents that are an integral part of the NFT Seed Terms and Conditions, constitute a binding agreement between you and HubBurger®.. You represent that you have read the Legal Documents and are aware that by accessing or using the NFT Seed Site or the Services you agree to be bound by the provisions of the foregoing.. Legal Documents If you do not agree with the provisions of the Legal Documents, please do not use the NFT Seed Site or Services .

1. DEFINITIONS

1. HubBurger ®- cannabis-launchpad.com OÜ based in Tallinn, Estonia, Harju maakond, Tallinn, Lasnamäe linnaosa, Lõõtsa tn 5, 11415, registered in the Register of Entrepreneurs under number 16541933;
2. NFT Seed - Cryptocurrency in the form of a non-exchangeable token. non-fungible token ), stored in the Ethereum blockchain using a smart contract, representing a unique cannabis graphic created by HubBurger® through a generation process (the minting ) within the NFT Seed stage, as described in the Whitepaper, and providing access to the NFT Seed Services;
3. Project - HubBurger® project to create a one-stop ecosystem for Cannabis products in the market, described in Whitepaper;

5. NFT Seed Regulations - this document;

11. Content Access Services - Services provided by HubBurger® to Users to enable access to content created or published on the NFT Seed Site;
12. NFT Seed Services - Services provided by HubBurger® to Users, other than Content Access Services, as described in the NFT Seed Terms and Conditions, listed in Section. 5.8 below;
13. User - an individual who visits the NFT Site or uses one or more of the NFT Seed Services described in the Terms and Conditions;
14. Whitepaper - document outlining the description and principles of the Project, available at: https://nft.hubburger.com/uploads/PL_HUB_WHITEPAPER.pdf .
15. Capitalized terms in the NFT Seed Regulations that are not defined above shall have the meaning given to them in other Legal Documents.

• GENERAL PROVISIONS

1. The regulations specify:
1. rules for the use of the NFT Seed Site;
2. the rules for the provision of Services by HubBurger® to Users, including the types and scope of Services provided;
3. The rules related to the conclusion and termination of the contract as far as the Services are concerned.
2. In the event of any contradiction between the Legal Documents that make up the entire agreement between the User and HubBurger®, the provisions of the document that is higher in the hierarchy set forth in clause. 1.1. above.
3. You may contact HubBurger® regarding matters related to the NFT Seed Site or Services through:
1. e-mail - to contact@hubburger.com ;
2. snail mail - to cannabis-launchpad.com OÜ.

• TERMS OF ACCESS TO SERVICES

1. In order to use the NFT Seed Site or Services, you must be at least 18 years of age and have full legal capacity. If you do not meet the conditions referred to in the preceding sentence, you may not access or use the NFT Seed Site or Services In this case, please do not use the NFT Seed Site or Services.
2. You should meet the following technical requirements in order to be able to use the NFT Seed Website and Services uninterruptedly:
1. The User's device should be connected to the Internet;
2. The user should have a full and up-to-date version of a browser such as Internet Explorer, Chrome, Safari, Mozilla FireFox, Opera or Microsoft Edge installed;
3. cookies and javascript support should be enabled in ww. browser;
4. screen resolution when displaying the NFT Seed Page should be at least 1280×1024 pixels or compatible with the displays of phones manufactured no earlier than 2015.

• TERMS OF SERVICE

[GENERAL PROVISIONS]

• You shall use the NFT Site or the Services in accordance with these NFT Seed Terms and Conditions, the law, good morals, and the rules of social intercourse, including in a manner that does not violate personal property, trade secrets, know-how, and intellectual property rights, especially copyrights belonging to HubBurger® or third parties.

• You are required to use the NFT Site or the Services solely for your own personal use, subject to your right to sell NFT Seed to any third party (in the event of a sale of NFT Seed, the agreement with respect to the NFT Services shall terminate as provided in Section 9, and you shall refrain from further use of the NFT Services).

• Without prejudice to point. 5.1 i 5.2. above, the User is further obliged to:

1. not to take actions that could affect the proper functioning of the Services or the NFT Seed Site, in particular by interfering with the content of the NFT Seed Site in any way;
2. not to use the Services or the NFT Seed Site, including the content on the Site, for purposes other than those specified in the NFT Seed Terms and Conditions;
3. not to undertake any actions that could fulfill the elements of a criminal act;
4. not to take any action other than those described above, which could be considered misleading, defamatory of others, violating personal rights, violating the rights of minorities, violating the personal or sexual freedom of third parties, discriminatory, racist, inappropriate, offensive, indecent, obscene, pornographic, harmful, threatening the privacy of third parties;
5. not to support, in any way or form, the activities described in the subsections above.

[CONTENT ACCESS SERVICE].

1. The content on the NFT Seed Site is for informational purposes and is intended solely for the presentation of the NFT Seed Services or materials related to the NFT Seed Services.. You may use the Content Access Service by selecting the appropriate tab available on the NFT Seed Site.
2. HubBurger® declares that the content published on the NFT Seed Site is created with due diligence. The user declares that he/she is aware that:
1. The content on the NFT Seed Site is for informational purposes only and does not constitute an offer to enter into a purchase contract, investment advice, financial advice, tax advice or other legal and regulatory advice;
2. The content on the NFT Seed Site is intended to exclusively showcase the NFT Seed Services.. In no case ww. the content does not constitute professional advice or a recommendation to make an investment, legal, tax or financial decision. You must consult with a qualified and authorized investment, tax, legal or financial advisor before making an acquisition and generating an NFT Seed, in accordance with the Master Rules.
3. The content on the NFT Seed Site, including graphical elements, is protected by copyright, trademark (or priority rights to register trademarks), know-how or other intellectual property rights owned by HubBurger®. Nothing in the Terms and Conditions of NFT Seed should be interpreted to mean that HubBurger contractually assigns copyrights or licenses the use of content on the NFT Seed Site, including its graphic elements. For the avoidance of doubt, the provision of this section 5.6. does not apply to the copyright in the unique graphics assigned to a particular NFT collection, which HubBurger® licenses to you in accordance with the Master Terms and Conditions.
4. HubBurger® does not charge any fees for providing the Content Access Service.

[NFT SEED SERVICES]

1. NFT Seed's services include allowing Users to access:
1. Onsite or online courses;
2. exclusive events or conferences;
3. private round (ang private sale ) utility token described in Whitepaper;
4. discounts on products offered by HubBurger®, available on the HBB panel;
5. allocations in future NFT collections;
6. allocations during the incubation of projects on the HubBurger® launchpad.
2. NFT Seed's services consist of allowing users to use the services listed in Section. 5.8. above activities, which will be periodically made available by HubBurger® for the benefit of Users. HubBurger® is obliged to keep its Users informed about the possibility of using the activity, including the description of the activity, the rules for using the activity and, if applicable, the date, time, place where the activity will take place or the period of time for which the activity can be used, via email or through the NFT Seed Site. The activities referred to above may be organized by external third parties, in which case the provision of paragraph. 6.2. below. Access to the activity will be granted whenever requested by a User authorized to use the activity.
3. NFT Seed services are provided only to those Users who have purchased and generated an NFT Seed token through the NFT Seed Site.
4. NFT Seed services will be provided without charging additional fees or remuneration. For the avoidance of doubt - the acquisition and generation of NFT Seed, which is a condition for entering into a contract for the provision of NFT Seed Services, is a paid service in accordance with the Main Regulations.

• OTHER SERVICES

1. The User may - as part of the NFT Seed Site - additionally use the following services: i) connection of the Wallet with the NFT Seed Site, ii) generation of NFTs; iii) access to social profiles, instant messaging, YouTube belonging to HubBurger®; iv) access to the content of the NFT Seed Site or Whitepaper available through the referral links on the NFT Seed Site, with the rules for the provision of these services set forth in the Master Terms and Conditions.
2. Services may contain links to external third-party services. The user is solely responsible for any fees, costs or other liabilities associated with the use of third-party services. HubBurger® does not assume any responsibility for the correctness, quality, completeness or compliance of the use of third-party services, even in cases where Users access third-party services through links residing on the NFT Seed Site.

• PERSONAL DATA

1. The rules regarding the processing of Users' personal data when accessing or using the NFT Seed Site or the Services are set out in the following. NFT Seed Privacy Policy i Main Privacy Policy , which are an integral part of the Regulations of NFT Seed. Please refer to the above. documents to understand our practice.

• RESPONSIBILITY FOR SERVICES

1. HubBurger® is not a broker, intermediary, agent, custodian or legal, financial, tax or investment advisor. HubBurger® shall not be liable to you in connection with any decisions or actions taken by you in accessing or using the Services.
2. HubBurger® does not provide investment, financial, legal or other similar advice. HubBurger® assumes no responsibility for investment decisions made on the basis of any content posted on the NFT Seed Site or obtained in connection with the Services provided to it.. The User agrees not to assert any claims against HubBurger® arising from decisions made by the User, including investment decisions.
3. HubBurger® shall not be liable to the User for non-performance or improper performance of its obligations under the contract with the User if their performance or due performance has become impossible or hindered - directly or indirectly - as a result of the occurrence of the circumstances known as the "circumstances".. HubBurger® shall not be liable to the User for any damages incurred by the User directly or indirectly as a result of using the NFT Seed Site or Services in a manner inconsistent with their intended use, contrary to law, contrary to good morals or principles of social intercourse, or as a result of using the Services beyond the scope of authority granted to the User.
   
   
   1. You represent that you understand that there may be interruptions or disruptions in the provision or availability of the Service due to the malfunction of the data communications infrastructure, for which HubBurger® shall not be responsible. The User agrees not to assert against HubBurger® any claim of liability for damages suffered by the User caused - directly or indirectly - as a result of the foregoing.. interruptions or disruptions.
   
   
   1. HubBurger® shall not be liable to User for any damages suffered by User directly or indirectly as a result of User's acts or omissions.

     DURATION. TERMINATION OF SERVICE CONTRACT

   
   
   
   
   
   
   1. The contract for the provision of Services is concluded under the terms and conditions set forth in the Rules of NFT Seed for an indefinite period of time.
   
   
   1. The agreement is concluded:
   
   
   
   1. With respect to Content Access Services - from the moment the User uses the NFT Seed Site for the first time;
   
   
   1. With respect to NFT Seed Services - upon purchase and generation of NFT Seed.
   
   
   
   1. You shall have the right to terminate the Agreement in whole or in part, at any time, without cause and without liability therefor, with immediate effect, whereby termination of the Agreement with respect to the NFT Seed Services may be effected by selling the NFT Seed to another entity or burning the NFT Seed in accordance with the provisions of the Master Rules.
   
   
   1. HubBurger® shall have the right to terminate the contract in whole or in part, and without incurring any liability therefor, with immediate effect, in the event of the occurrence of the causes indicated in the Main Regulations, under the terms and conditions indicated therein.

   1.         TERMS OF ACCESS TO SERVICES

      
      
      
      
      
      
      1. In order to use the NFT Seed Site or Services, you must be at least 18 years of age and have full legal capacity. If you do not meet the conditions referred to in the preceding sentence, you may not access or use the NFT Seed Site or Services In this case, please do not use the NFT Seed Site or Services.
      
      
      1. You should meet the following technical requirements in order to be able to use the NFT Seed Website and Services uninterruptedly:
      
      
      
      1. The User's device should be connected to the Internet;
      
      
      1. The user should have a full and up-to-date version of a browser such as Internet Explorer, Chrome, Safari, Mozilla FireFox, Opera or Microsoft Edge installed;

      • You shall use the NFT Site or the Services in accordance with these NFT Seed Terms and Conditions, the law, good morals, and the rules of social intercourse, including in a manner that does not violate personal property, trade secrets, know-how, and intellectual property rights, especially copyrights belonging to HubBurger® or third parties.
      
      
      
      
      • The User is obligated to use the NFT Site or the Services solely for his/her own personal use, subject to the User's right to sell the NFT Seed to any third party (in the event of a sale of the NFT Seed, the agreement with respect to the NFT Services shall terminate, in accordance with the provisions of Section 9, and the User is obligated to refrain from further use of the NFT Services)
      
      
      
      
      • Without prejudice to point. 5.1 i 5.2. above, the User is further obliged to:
      
      
      
      
      
      1. not to take actions that could affect the proper functioning of the Services or the NFT Seed Site, in particular by interfering with the content of the NFT Seed Site in any way;
      
      
      1. not to use the Services or the NFT Seed Site, including the content on the Site, for purposes other than those specified in the NFT Seed Terms and Conditions;
      
      
      1. not to undertake any actions that could fulfill the elements of a criminal act;
      
      
      1. not to take any action other than those described above, which could be considered misleading, defamatory of others, violating personal rights, violating the rights of minorities, violating the personal or sexual freedom of third parties, discriminatory, racist, inappropriate, offensive, indecent, obscene, pornographic, harmful, threatening the privacy of third parties;
      
      
      1. not to support, in any way or form, the activities described in the subsections above

      1. HubBurger® declares that the content published on the NFT Seed Site is created with due diligence. The user declares that he/she is aware that:
      
      
      
      1. The content on the NFT Seed Site is for informational purposes only and does not constitute an offer to enter into a purchase contract, investment advice, financial advice, tax advice or other legal and regulatory advice;

The content on the NFT Seed Site, including graphical elements, is protected by copyright, trademark (or priority rights to register trademarks), know-how or other intellectual property rights owned by HubBurger®. Nothing in the Terms and Conditions of NFT Seed should be interpreted to mean that HubBurger contractually assigns copyrights or licenses the use of content on the NFT Seed Site, including its graphic elements. For the avoidance of doubt, the provision of this section 5.6. does not apply to the copyright in the unique graphics assigned to a particular NFT collection, which HubBurger® licenses to you in accordance with the Master Terms and Conditions.
      
      
      1. HubBurger® does not charge any fees for providing the Content Access Service.

      1. NFT Seed's services include allowing Users to access:
      
      
      
      1. Onsite or online courses;
      
      
      1. exclusive events or conferences;
      
      
      1. private round (ang private sale ) utility token described in Whitepaper;
      
      
      1. discounts on products offered by HubBurger®, available on the HBB panel;
      
      
      1. allocations in future NFT collections;
      
      
      1. allocations during the incubation of projects on the HubBurger® launchpad.
      
      
      
      1. NFT Seed's services consist of allowing users to use the services listed in Section. 5.8. above activities, which will be periodically made available by HubBurger® for the benefit of Users. HubBurger® is obliged to keep its Users informed about the possibility of using the activity, including the description of the activity, the rules for using the activity and, if applicable, the date, time, place where the activity will take place or the period of time for which the activity can be used, via email or through the NFT Seed Site. The activities referred to above may be organized by external third parties, in which case the provision of paragraph. 6.2. below. Access to the activity will be granted whenever requested by a User authorized to use the activity.
      
      
      1. NFT Seed services are provided only to those Users who have purchased and generated an NFT Seed token through the NFT Seed Site
      
      
      1. NFT Seed services will be provided without charging additional fees or remuneration. For the avoidance of doubt - the acquisition and generation of NFT Seed, which is a condition for entering into a contract for the provision of NFT Seed Services, is a paid service in accordance with the Main Regulations.

        OTHER SERVICES

      
      
      
      
      
      
      1. The User may - as part of the NFT Seed Site - additionally use the following services: i) connection of the Wallet with the NFT Seed Site, ii) generation of NFTs; iii) access to social profiles, instant messaging, YouTube belonging to HubBurger®; iv) access to the content of the NFT Seed Site or Whitepaper available through the referral links on the NFT Seed Site, with the rules for the provision of these services set forth in the Master Terms and Conditions.
      
      
      1. Services may contain links to external third-party services. The user is solely responsible for any fees, costs or other liabilities associated with the use of third-party services. HubBurger® does not assume any responsibility for the correctness, quality, completeness or compliance of the use of third-party services, even in cases where Users access third-party services through links residing on the NFT Seed Site.

      1. HubBurger® is not a broker, intermediary, agent, custodian or legal, financial, tax or investment advisor. HubBurger® shall not be liable to you in connection with any decisions or actions taken by you in accessing or using the Services
      
      
      1. HubBurger® does not provide investment, financial, legal or other similar advice. HubBurger® assumes no responsibility for investment decisions made on the basis of any content posted on the NFT Seed Site or obtained in connection with the Services provided to it.. The User agrees not to assert any claims against HubBurger® arising from decisions made by the User, including investment decisions.
      
      
      1. HubBurger® shall not be liable to the User for non-performance or improper performance of its obligations under the contract with the User if their performance or due performance has become impossible or hindered - directly or indirectly - as a result of the occurrence of the circumstances known as the "circumstances".. "force majeure", which includes any event external to HubBurger®, i.e.. in particular, strikes, utility service failure, telecommunications or data communications failures, war, riots, civil unrest, natural disasters, severe storms, hurricanes, earthquakes, floods, lightning strikes, epidemics, prolonged heavy precipitation, acts of state authority or acts of international bodies.
      
      
      1. HubBurger® shall not be liable to the User for any damages incurred by the User directly or indirectly as a result of using the NFT Seed Site or Services in a manner inconsistent with their intended use, contrary to law, contrary to good morals or principles of social intercourse, or as a result of using the Services beyond the scope of authority granted to the User.
      
      
      1. You represent that you understand that there may be interruptions or disruptions in the provision or availability of the Service due to the malfunction of the data communications infrastructure, for which HubBurger® shall not be responsible. The User agrees not to assert against HubBurger® any claim of liability for damages suffered by the User caused - directly or indirectly - as a result of the foregoing.. interruptions or disruptions.
      
      
      1. HubBurger® shall not be liable to User for any damages suffered by User directly or indirectly as a result of User's acts or omissions.

        DURATION. TERMINATION OF SERVICE CONTRACT

      
      
      
      
      
      
      1. The contract for the provision of Services is concluded under the terms and conditions set forth in the Rules of NFT Seed for an indefinite period of time.
      
      
      1. The agreement is concluded:
      
      
      
      1. With respect to Content Access Services - from the moment the User uses the NFT Seed Site for the first time;
      
      
      1. With respect to NFT Seed Services - upon purchase and generation of NFT Seed.
      
      
      
      1. You shall have the right to terminate the Agreement in whole or in part, at any time, without cause and without liability therefor, with immediate effect, whereby termination of the Agreement with respect to the NFT Seed Services may be effected by selling the NFT Seed to another entity or burning the NFT Seed in accordance with the provisions of the Master Rules.
      
      
      1. HubBurger® shall have the right to terminate the contract in whole or in part, and without incurring any liability therefor, with immediate effect, in the event of the occurrence of the causes indicated in the Main Regulations, under the terms and conditions indicated therein.

In the event that any litigation arises in the future on the background of the Rules of NFT Seed, the court of competent jurisdiction to resolve the above-mentioned disputes shall be the court of competent jurisdiction.. of the dispute will be the court having jurisdiction over HubBurger®'s registered office.
      
      
      In accordance with mandatory provisions of law, the ineffectiveness or invalidity of any provision of the NFT Seed Regulations shall not affect the validity of the remaining provisions of the NFT Seed Regulations.
